Membership Agreement

1. PARTIES

This Membership and Usage Agreement (“Usage Agreement”) has been arranged between Power International and the User who logs in and/or becomes a member of the Website, for the User to use the Website and at the time of approval by the User in the electronic environment where the Website is located.

By logging in to the Website and/or becoming a member, the User accepts and declares that he/she has read the entire User Agreement, understands its content in its entirety and approves all its provisions.

2. DEFINITIONS

Buyer: Refers to the user who purchases the goods and/or services offered for sale by the Seller by using the Services offered on the Website.

Power International Elasan Real Estate Consultancy Trade Limited Company.

“Service” for short: It refers to the applications put forward by Power International on the Website in order to enable users to perform the business and transactions defined in the User Agreement.

User/Member: Refers to the natural or legal person who logs in and/or becomes a member of the Website and benefits from the Services offered on the Website within the conditions specified in this User Agreement. Sellers and Buyers become members of the Website as Users.

Seller: By using the Services offered on the Website, it is the person who offers the goods and / or services that it legally owns and has the right to dispose of the property for sale to other Users.

Product: Refers to all kinds of goods and/or services offered for sale by the Seller on the Website.

3. SUBJECT AND SCOPE OF THE CONTRACT

3.1. The subject of the User Agreement is the determination of the Services offered on the Website, the terms of utilization of these services and the rights and obligations of the parties.

3.2. The scope of the User Agreement is the User Agreement and its annexes and all statements such as warnings, writings and explanations made by Power International regarding the use, membership and Services on the Website.

3.3. By accepting the provisions of the User Agreement, you also accept any and all statements made by Power International regarding the use, membership and Services on the Website and that you will act in accordance with such statements.

4. MEMBERSHIP AND SERVICE TERMS AND CONDITIONS

4.1. Membership is completed by the person who wants to become a User by submitting the necessary information to become a member of the Website from the relevant section of the Website and by the approval of the registration process by Power International. Without completing the membership process, the right and authorization to become a User as defined in this User Agreement cannot be obtained.

4.2. In order to become a member of the Website, you must be of legal age and not have been temporarily suspended from membership or banned from membership indefinitely by Power International. The fact that a minor or a person who has been temporarily suspended or indefinitely banned from membership by Power International pursuant to Article 5.2 of this User Agreement, as stated above, has completed the Website registration process shall not result in their becoming a member of the Website.

5. RIGHTS AND OBLIGATIONS

5.1. Rights and Obligations of the User

The User accepts, declares and undertakes that while fulfilling the membership procedure, benefiting from the Services of the Website and performing any transaction related to the Services on the Website, he/she will act in accordance with all the terms contained in the User Agreement, the rules specified in the relevant parts of the Website and all applicable legislation, and that he/she understands and approves all the terms and rules stated above.

In cases where the User claims that the rights of other Users and third parties are violated in accordance with the provisions of the Privacy Provisions and the provisions of the mandatory legislation in force or in cases where the rights of other Users and third parties are allegedly violated, Power Internationalshall be authorized to disclose confidential/private/commercial information belonging to itself to both official authorities and rightful persons and for this reason Power Internationalaccepts, declares and undertakes that no compensation can be claimed under any name whatsoever.

The security, storage, keeping away from the knowledge of third parties and use of the system access tools (username, password, etc.) used by the Users in order to benefit from the Services offered by Power International are the sole responsibility of the Users. Power International shall not be liable, directly or indirectly, for any damages incurred or to be incurred by the Users and/or third parties due to any negligence and defects of the Users in matters such as security, storage, keeping away from the knowledge of third parties and use of the means of access to the system.

Users accept, declare and undertake that the information and contents provided by them within the Website are accurate and lawful. Power International, Users agree that the information and content provided by Power InternationalIt is not obliged and responsible to investigate the accuracy of the information and content transmitted to ‘s or uploaded, modified or provided by them through the Website, to undertake and guarantee that this information and content is safe, accurate and lawful, and cannot be held responsible for any damages that may arise due to the incorrect or inaccurate information and content in question.

The User may not transfer its rights and obligations under the User Agreement, in whole or in part, to any third party without the written consent of PowerInternational.

Those who benefit from the Services offered by PowerInternational and those who use the Website may only perform transactions on the Website for lawful purposes. The legal and criminal responsibility for every transaction and action of the users within the Website belongs to them. Each User, Power International and/or any other third party’s real or personal rights or assets in violation of the real or personal rights or assets of another third party, reproduce, copy, distribute, process the pictures, texts, audio and visual images, video clips, files, databases, catalogs and lists contained on the Website, either by these actions or by other means Power International and it accepts, declares and undertakes that it will not compete directly and/or indirectly. Power International shall not be held liable in any way, directly and/or indirectly, for any damages suffered or may be suffered by third parties due to the activities of the Users on the Website in violation of the provisions of the User Agreement and/or the law.

Power International, Power International employees or directors are not responsible for the services provided and the content published on the Website by third parties, including users. The commitment to the accuracy and lawfulness of the information, content, audio and visual images provided and published by any third party is the sole responsibility of the persons performing these actions. Power International does not represent and warrant the security, accuracy and legality of the services and content provided by third parties, including Users.

Users accept, declare and undertake that they will not make transactions to transfer money between their own memberships on the Website and the memberships of their relatives and that they will not engage in behaviors that will manipulate the operation of the Website, otherwise they will compensate any damages incurred by PowerInternational.

5.2. rights and obligations of Power International

Power International reserves the right to change the Services and contents offered on the Website at any time; to make the information and contents uploaded by the Users to the system inaccessible to third parties, including the Users, and to delete them. Power International may exercise this right without any prior notice. The User shall promptly comply with any changes requested by PowerInternational to be made by the User. The User shall be responsible for the compensation of the damages arising from the failure of the Users to fulfill the amendment and/or correction requests requested by Power International in a timely manner.

Power International may ‘link’ through the Website to other websites and/or portals, files or content owned and operated by third party vendors, providers and other third parties not under Power International’s control. These ‘links’ may be provided by Users or by Power International for ease of reference only and are not intended to endorse the website or its operator, nor are they a representation or warranty of any kind regarding the website or the information contained therein. Power International has no responsibility for the portals, websites, files and content accessed through ‘links’ on the Website, the services or Products offered through portals or websites accessed through such ‘links’ or the content thereof.

Power International does not act as a mediator or arbitrator in disputes arising between Users in relation to the Services provided and Products included on the Website.

Power Internationalany transaction between Users through the Website that is contrary to the functioning of the Website and/or the User Agreement and/or the general rules of the Website and/or the general rules of morality and Power International may perform the necessary content and/or message scanning in order to detect messages and/or content that cannot be accepted by the User and may remove the messages and/or content it detects from access at any time and in any manner; may terminate the User’s membership, temporarily or permanently, without any notice.

No partnership, agency or employee-employer relationship arises between Power International and the User as a result of the approval and execution of the User Agreement.

The User undertakes not to infringe the legal rights of third parties, such as copyright, trademark, trade name, etc., when determining the name “User name”. In the event that Users violate the provisions of this article, Power International may request the correction of this situation contrary to the User Agreement from the User, or may temporarily or permanently cancel the User’s membership without prior notice to the User.

6. CONFIDENTIALITY PROVISIONS

Power International may use information relating to Users in accordance with the provisions set forth in the Privacy Policy on this Website. Power International will not use Users’ confidential information contrary to the User Agreement and the Privacy Terms.

7. INTELLECTUAL PROPERTY RIGHTS

Users are authorized to use the Power International resell, share, share, distribute, distribute, display, reproduce, create derivative works of, or prepare derivative works from, the Services, information and copyrighted works of others Power Internationalaccess or use the Services; otherwise, third parties, including but not limited to licensors, may be liable for damages incurred by them. Power Internationalshall be liable to pay the amount of damages and any other obligations, including, but not limited to, court costs and attorneys’ fees.

PowerInternational reserves all rights in and to all of its assets, real and personal property, trade information and know-how, including any and all tangible and intellectual property rights, including any and all intellectual property rights, in and to the Services, information, copyrighted works, trademarks, trade dress or other proprietary rights owned by Power International through the Website.

Users accept, declare and undertake not to infringe any Intellectual Property Rights of Power International and other Users on the Website.

8. CONTRACT CHANGES

Power International may, at its sole discretion and unilaterally, amend this User Agreement and its annexes at any time it deems appropriate by posting them on the Website. The amended provisions of this User Agreement shall become effective on the date of their announcement; the remaining provisions shall remain in force and continue to give rise to their provisions and consequences.

9. FORCE MAJEURE

In all cases of force majeure, Power International shall not be liable for any late or incomplete performance or non-performance of any of its obligations under this Agreement. In cases of force majeure; delay, incomplete performance or non-performance or default shall not be deemed, nor shall the User be entitled to claim any compensation under any name from PowerInternational for these situations. The term force majeure includes, but is not limited to, natural disasters, riots, war, strikes, cyber-attacks, communication problems, infrastructure and internet failures, cyber-attacks, system improvement or renewal works and failures that may occur for this reason, power outages and bad weather conditions Power Internationalshall be construed as unavoidable events which are beyond the reasonable control of the Company and which, despite the exercise of due diligence, could not have been prevented.

10. APPLICABLE LAW AND COMPETENT COURT

Turkish Law shall apply in the implementation, interpretation and management of legal relations arising under the provisions of this User Agreement. Istanbul Courts and Enforcement Offices are authorized to settle any disputes arising or that may arise from this User Agreement.

11. TERMINATION OF THE CONTRACT

This User Agreement shall remain in force as long as the User logs in and/or becomes a member of the Website and shall continue to give rise to the provisions and consequences between the parties; it shall be deemed to have expired in the event that the User’s membership period expires or the User’s membership is temporarily or permanently suspended. Power International may unilaterally terminate the User Agreement in the event that the Users violate this User Agreement and/or similar rules regarding the User, membership and Services on the Website, and in particular in the cases listed below, and the Users may terminate the User Agreement unilaterally and the Users shall be liable for the termination, shall be liable to indemnify Power International for all direct or indirect damages suffered by Power International:

• The user engages in behavior that manipulates the functioning of the Website using any method,
• The User transfers or makes available to someone else the User profile created for him/her,
• The user commits acts that violate the rights of third parties.
• Each User who logs in and/or becomes a member of the Website shall be bound by the provisions of this Agreement indefinitely.
